These Terms of Service ("Terms") govern your access to and use of Phase3AI (phase3ai.com) and all products, prototypes, and services offered under the Phase3AI brand ("Platform"), operated by SapienCX LLC ("Company," "we," "us"). By accessing or using Phase3AI you agree to these Terms. If you do not agree, do not use the Platform.
Phase3AI is a product studio and portfolio platform operated by SapienCX LLC. It showcases revenue-generating AI prototypes across healthcare, trade intelligence, freight disruption, supply chain risk, legal tech, education, and other industries. The Platform provides informational content, prototype demonstrations, and intelligence products for business and professional audiences.
Phase3AI is owned and operated by SapienCX LLC, a Virginia limited liability company. By using Phase3AI you agree that you are contracting only with SapienCX LLC and not with any individual founder, member, manager, officer, employee, or agent. To the maximum extent permitted by law, no founder, member, manager, officer, employee, contractor, or agent of SapienCX LLC shall have personal liability for any claim arising from your use of Phase3AI.
All revenue figures, projections, estimates, and market size references displayed on Phase3AI are forward-looking estimates based on comparable industry benchmarks and publicly available market data. They do not constitute guarantees, representations, or warranties of future performance. Actual results will vary and may differ materially from any projection shown. Nothing on Phase3AI constitutes an offer of securities, investment advice, or a business opportunity.
Phase3AI provides informational content and prototype demonstrations for general business awareness only. Nothing on this Platform constitutes legal, financial, investment, tax, procurement, medical, or other professional advice. No professional relationship of any kind is created by your use of Phase3AI. Always consult qualified professionals before making decisions based on any content or analysis seen on this Platform.
Some Phase3AI products and prototypes use AI and automated systems to generate summaries, signals, analysis, or responses. AI-generated output may contain errors, omissions, outdated information, unsupported inferences, or fabricated content. You must independently verify any AI-generated output before relying on it for any business, operational, or financial decision.
Phase3AI and its products are intended for business, professional, operational, and informational use. They are not intended for household, emergency, safety-critical, medical, legal-advisory, investment-advisory, or regulated trading use. You may not use Phase3AI where inaccurate or incomplete information could result in personal injury, property damage, regulatory violation, or material financial harm without independent verification.
Certain Phase3AI products require account registration or access credentials. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at tom@phase3ai.com if you suspect unauthorized access.
Paid subscriptions to any Phase3AI product are billed on a recurring basis through our payment processor. Subscriptions renew automatically until cancelled. You may cancel at any time through your account portal or by emailing tom@phase3ai.com; access continues through the end of the paid period. No refunds are issued for partial periods unless required by applicable law or approved in our sole discretion.

All Platform design, code, analysis, branding, and original content is owned by SapienCX LLC. Subject to these Terms, you receive a limited, revocable, non-exclusive, non-transferable license to access and use Phase3AI for your internal informational purposes. No rights are transferred except as expressly stated. Underlying government or public data sources remain in their respective public domain or licensed status.
Phase3AI products may aggregate and display data from public datasets, government sources, third-party feeds, and automated analysis. We make reasonable efforts to ensure accuracy but do not warrant that any signal, projection, analysis, or content is complete, accurate, current, or error-free. Data may be delayed, revised, or unavailable. You assume full responsibility for any decisions made based on information from Phase3AI.
Phase3AI and all products are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SapienCX LLC disclaims all warranties, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
To the maximum extent permitted by law, SapienCX LLC and its members, managers, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of Phase3AI. Our total aggregate liability for all claims shall not exceed the greater of one hundred dollars ($100) or the amount you paid us in the three months preceding the claim.
You agree to defend, indemnify, and hold harmless SapienCX LLC and its members, managers, officers, employees, contractors, and agents from any third-party claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising from your use of Phase3AI, your decisions made in reliance on Platform content, or your violation of these Terms or applicable law.
We may suspend or terminate your access at any time for violation of these Terms, failure to pay, or suspected abuse. Termination does not entitle you to a refund. Key provisions including intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
SapienCX LLC will not be liable for delay, failure, or interruption caused by events beyond its reasonable control, including third-party provider outages, government-source delays, API limits, cyber incidents, or other force majeure events.
We may update these Terms at any time. We will post the revised effective date at the top of this page. Continued use of Phase3AI after changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. The state and federal courts located in Virginia shall have exclusive jurisdiction. Any dispute will be brought only on an individual basis — no class actions, collective actions, or representative proceedings. Either party may seek injunctive relief in court to protect intellectual property or service integrity.
